The incorporation of Marieta del Rivero fulfills what was announced at the 2016 Meeting to incorporate a new Director who would reinforce the weight of independents on the Board, and also as a first step in the line of advancing gender diversity in its composition.

The Board of Directors of Cellnex Telecom, and at the proposal of the Appointments and Remuneration Committee, has agreed to submit to the Shareholders' Meeting to be held on April 27, the appointment of Marieta del Rivero Bermejo as the company's new independent director.

The incorporation of the new director means expanding the current composition of the Board from 9 to 10 members. A change that will also be submitted to the approval of the Board.

In this way, the Cellnex Board now has five independent directors who represent 50% of the Board, exceeding the threshold established in the Good Governance of Listed Companies recommendations, to which are added the current four proprietary directors and one executive director.

Marieta del Rivero has 25 years of experience and leadership in the world of information and communication technologies, mobility and industry and digital services, being one of the most prominent profiles in the sector in Spain. It has an extensive and proven track record that goes from mass consumption to hardware manufacturers and suppliers, including telecommunications operators and the software industry. He has developed his professional career and executive responsibilities at Telefónica, Nokia (Iberia and Corporation), Xfera Móviles, Amena and Nefitel. He is currently a Senior Advisor at Ericsson and is a member of the advisory boards of the technology incubator Made in Mobile and the digital transformation consultancy Roca Salvatella. She is a member of the Board of Directors in Spain of the International Women's Forum and the Women Corporate Directors Foundation.

She is also the author of the book Smart Cities, a vision for the citizen in which he develops his ideas in relation to the effect of urbanization and digital transformation processes in cities. Del Rivero has a degree in Economics and Business Sciences from the Autonomous University of Madrid. He has also completed the Advanced Management Program (AMP) at IESE.
