RTL Sky - Purchase - Acquisition - Contents

11.5 million paying subscribers will make up the business of RTL Group after purchasing Sky Germany (Germany, Austria and Switzerland), an operation estimated at 150 million euros that plans to generate 250 million euros annually in synergies.

The operation will allow RTL own the premium sports rights to Sky, like the Bundesliga, the DFB-Pokal, the Premier League and Formula 1, as well as integrating the streaming services of the company. Just as it has been transferred Thomas Rabe, CEO of RTL Group, the union of both brands will form one of the “most powerful entertainment and sports companies in Europe”, creating a “unique proposal in free-to-air television, pay television and streaming.”

According to the agreement, RTL Group will fully acquire the businesses of Sky in Germany, Austria and Switzerland, including customer relationships in Luxembourg, Liechtenstein and South Tyrol, without cash or debt. The purchase price consists of 150 million euros in cash and a variable consideration linked to the evolution of the RTL Group share price. Variable consideration can be activated by Comcast, Sky's parent company, at any time within five years following closing, provided that the RTL Group share price exceeds 41 euros. The operation is expected to generate 250 million euros in annual synergies within three years, mainly cost synergies in all categories.

Under another trademark license agreement, RTL will have the right to use the Sky brand in the DACH region (Germany, Austria and Switzerland), Luxembourg, Liechtenstein and South Tyrol. In addition, RTL will acquire the streaming brand WOW of Sky Deutschland as part of the transaction. Dana Strong, CEO of Sky Group, welcomes the agreement: “This agreement provides a strong platform for long-term success and ensures that Sky continues to share in the growth of the combined business.”

The two businesses will continue to operate independently until regulatory authorizations are obtained, which are expected in 2026.
